§1.1 Die Rechtsbeziehungen zwischen dem Auftraggeber und PPE richten sich nach diesen Allgemeinen Geschäftsbedingungen.	§1.1 The legal relationships between the customer and PPE are governed by these General Terms and Conditions.
§1.2 Andere Allgemeine Geschäftsbedingungen gelten auch dann nicht, wenn Ihnen im Einzelfall nicht ausdrücklich widersprochen wurde. Dies gilt selbst dann, wenn der Auftraggeber auf diese, z. B. im Auftrag oder einem Begleitschreiben, ausdrücklich hinweist.	§1.2 Other terms and conditions do not apply even if in individual cases nothing was explicitly contradicted. This is true even if the customer expressly points this out, e.g. on behalf or a cover letter.
§ 2 Gefahrtragung, Transport und Obhut, Lieferfristen	§ 2 Risk, transport and care, delivery times
§2.1 Die vom Auftraggeber für die Ausführung des Auftrages bereitzustellenden Gegenstände hat der Auftraggeber auf eigene Gefahr und eigene Rechnung bei PPE anzuliefern. Sie lagern bei PPE auf Gefahr und auf Rechnung des Auftraggebers, der Auftraggeber hat diese selbst zu versichern.	§2.1 The customer must deliver the objects to be provided by the customer for the execution of the order at his own risk and on his own account with PPE. They store at PPE at risk and for the account of the customer, the customer has to insure them.
§2.2 Auch die Abholung oder der Rückversand erfolgen auf Gefahr und Rechnung des Auftraggebers, wobei Versandweg und -mittel der Rücksendung, soweit nicht ausdrücklich etwas anderes vereinbart wurde, der Wahl von PPE überlassen sind. Die Versandkosten werden durch PPE dem Auftraggeber in Rechnung gestellt.	§2.2 The collection or return shipment is at the risk and expense of the customer, whereby the shipping route and means of return, unless otherwise expressly agreed, are left to the choice of PPE. The shipping costs are charged by PPE to the customer.

§2.3 PPE wird dem Auftraggeber bei Versand/Abholung einen Lieferschein, ggf. unter Angabe einer Zolltarifnummer sowie einer beigefügten Vorabrechnung für die Verzollung (Proforma Invoice) mitgeben/mitschicken. Die übrigen Zollformalitäten sowie die Verzollung erledigt der Auftraggeber auf eigene Gefahr und Rechnung selbst.	§2.3 PPE will send / receive a delivery note to the customer, if necessary stating a customs tariff number and an attached advance invoice for customs clearance (Proforma Invoice). The other customs formalities as well as customs clearance are carried out by the customer at his own risk and on his own account.
§2.4 Lieferfristen und -termine sind nur dann verbindlich, wenn sie von PPE ausdrücklich so bezeichnet werden.	§2.4 Delivery times and dates are only binding if they are expressly designated by PPE.
§2.5 Lieferungen erfolgen stets „Ex Works“ von unserem Standort Magdeburg/Deutschland nach Incoterms 2010.	§2.5 Deliveries are always made „Ex Works“ from our location Magdeburg / Germany according to Incoterms 2010.
§2.6 PPE ist berechtigt, umfangreiche Lieferungen nach eigenem Ermessen aufzuteilen, wenn dieses aus logistischen Gründen sinnvoll ist.	§2.6 PPE is entitled to split extensive deliveries at its own discretion, if this makes sense for logistical reasons.

§3.1 Angebote von PPE sind stets freibleibend.	§3.1 quotations by PPE are always non- binding.
§3.2 Bei den von PPE genannten Preisen handelt es sich grundsätzlich um Nettopreise ohne Umsatzsteuer (auf § 4 Nr. 2 i.V.m. § 8 Abs. 1 UStG wird verwiesen) sowie Verpackung, Versand und eventuelle Zollgebühren, diese werden extra berechnet und ausgewiesen.	§3.2 The prices stated by PPE are in principle net prices without value added tax (refer to § 4 No. 2 in connection with § 8 Abs. 1 UStG) as well as packaging, shipping and possible customs duties, these are calculated and shown separately.

§4.2 Ein Zurückbehaltungsrecht steht dem Auftraggeber nicht zu, es sei denn die Leistung von PPE ist offensichtlich mangelhaft oder dem Auftraggeber steht offensichtlich ein Recht zur Verweigerung der Abnahme zu. In einem solchen Fall darf der Auftraggeber nur einen Betrag einbehalten, der im angemessenen Verhältnis zu den Mängeln und den voraussichtlichen Kosten der Nacherfüllung, insbesondere einer Mangelbeseitigung, steht.	§4.2 The customer is not entitled to a right of retention, unless the performance of PPE is obviously defective or the customer is obviously entitled to refuse acceptance. In such a case, the customer may only withhold an amount that is proportionate to the defects and the probable cost of subsequent performance, in particular a defect removal.
§4.3 Der Auftraggeber ist nicht berechtigt, Ansprüche und Rechte wegen Mängeln geltend zu machen, wenn er fällige Zahlungen nicht geleistet hat und soweit der fällige Betrag einschließlich etwaiger bereits geleisteter Zahlungen in einem angemessenen Verhältnis zu dem Wert der (mangelhaften) Leistungen steht.	§4.3 The customer is not entitled to assert claims and rights due to defects if he has not made payments due and if the amount due, including any payments already made, is in reasonable proportion to the value of the (defective) services.
§4.4 Gegen Forderungen von PPE kann der Auftraggeber nur mit unbestrittenen oder rechtskräftig festgestellten Forderungen aufrechnen.	§4.4 The customer can only set off against claims of PPE with undisputed or legally established claims.

§5.1 An allen eingebauten Ersatz- und Zubehörteilen, welche nicht wesentliche Bestandteile des Auftragsgegenstandes geworden sind, behält sich PPE bis zur vollständigen Bezahlung aller Rechnungen das Eigentum vor.	§5.1 PPE retains title to all built-in spare components and accessories which have not become essential components of the subject matter of the contract until all invoices have been paid in full.
§5.2 Ersetzte Teile gehen in das Eigentum von PPE über, soweit nicht etwas anderes vereinbart worden ist.	§5.2 Replaced components become the property of PPE, unless otherwise agreed.
§5.3 PPE wird bei Anlieferungen von Auftraggeber-Komponenten eine Eingangsprüfung vornehmen und bei Abweichungen zum Lieferschein den	§5.3 PPE will carry out an incoming inspection of deliveries of customer components and will inform the customer in case of deviations from the delivery note in order to clarify the situation.

 dass Kraftstoffunverträglichkeiten vorliegen; Indikatoren dafür sind z.B. häufig verblockte/verstopfte Filter,  dass die herstellerseitig vorgeschrieben Guidelines bzgl. der Einstellung des Kraftstoffsystems nicht eingehalten wurden, z.B. hinsichtlich Durchflussmenge, Druck und Viskosität, was zu häufigen, unnötigen Wechseln von CR Komponenten führt,  dass die Schadensursache darauf beruht, dass PPE auf Wunsch der Auftraggeber Komponenten nach Zeichnungen oder sonstigen Dokumenten gefertigt und geliefert hat, die vom Auftraggebern zur Verfügung gestellt wurden und fehlerhaft waren.	 that the manufacturer prescribed guidelines concerning the setting of the fuel system were not met, e.g. flow rate, pressure and viscosity, resulting in frequent, unnecessary changes of CR components,  that the cause of the damage is based on the fact that PPE, at the customer’s request, manufactured and supplied components according to drawings or other documents provided by the customer which were defective.
§6.4 Auf Schadensersatz haftet PPE nur bei Verletzung von Leben, Körper oder Gesundheit, bei sonstigen Schäden nur im Falle von Vorsatz oder grober Fahrlässigkeit.	§6.4 PPE is liable for damages only in case of injury of life, body or health, in case of other damages only in case of intent or gross negligence.
§6.5 Gewährleistungsansprüche des Auftraggebers gegenüber PPE verjähren ein Jahr nach Übergabe der Komponenten.	§6.5 Warranty claims of the customer against PPE expire one year after delivery of the components.
§6.6 Vertragsstrafen z.B. für Lieferverzug müssen separat verhandelt und von PPE schriftlich akzeptiert werden.	§6.6 Contractual penalties e.g. for delivery delays must be negotiated separately and accepted by PPE in writing.
§6.7 PPE haftet maximal in der Höhe des jeweiligen Auftragswertes. Weitergehende Forderungen der Haftung z.B. für entgangenen Gewinn, Konventionalstrafen bei Fahrplanverzögerung, Frachtverluste, Motorschäden etc. sind ausgeschlossen.	§6.7 PPE is liable up to the amount of the respective order value as a maximum. Further claims of liability e.g. for lost profits, penalties for delays, freight losses, engine damage etc. are excluded.
§ 7 Anwendbares Recht, Erfüllungsort, Gerichtsstand	§ 7 Applicable law, place of performance, place of jurisdiction
§7.1 Die Rechtsbeziehungen zwischen dem Auftraggeber und PPE unterliegen ausschließlich dem deutschen Recht unter Ausschluss des UN-Kaufrechts (CISG).	§7.1 The legal relations between the customer and PPE are exclusively subject to German law to the exclusion of the UN Sales Convention (CISG). §7.3 Für alle Rechtsstreitigkeiten zwischen den Auftraggebern und PPE ist – unabhängig vom Streitwert – das Landgericht Magdeburg (einschließlich der Kammern für Handelssachen) ausschließlich zuständig.	§7.3 Irrespective of the amount in dispute, the District Court Magdeburg (including the chambers of commercial matters) is exclusively responsible for all legal disputes between the customer and the PPE.

§10.1 Der Auftraggeber muss generell zumutbare Arbeitsbedingungen für die Mitarbeiter von PPE an seinen Einsatzorten schaffen. Dazu gehören u.a., dass Gefährdungen für die Gesundheit und Freiheit soweit wie möglich auf ein Minimum reduziert werden. Im Fall von unzumutbaren Arbeitsbedingungen ist PPE berechtigt, die Arbeit einzustellen, bis der Auftraggeber wieder arbeitswürdige Bedingungen geschaffen hat. Zusätzliche Kosten, die wie oben beschrieben entstehen, sind vom Auftraggeber zu tragen.	§10.1 The customer must generally create reasonable working conditions for the employees of PPE at his place of work. These include, inter alia, minimizing risks to health and freedom as much as possible. In the case of unreasonable working conditions, PPE is entitled to stop work until the customer has re-established resonable working conditions. Additional costs incurred as described above shall be borne by the customer.
§10.2 Der Auftraggeber wird PPE bei der Erfüllung des Auftrages so weit wie möglich unterstützen, z.B. indem der Auftraggeber den Mitarbeitern von PPE freien Zugang zum Arbeitsort und Hilfe in Form von Monteuren, elektrischem Strom, etc. wie auch bei Bedarf bei der Beschaffung von Unterkünften, Transfers, Visa, Zollformalitäten etc. gewährt. Verzögerungen oder sonstige Nachteile, die durch unzureichende Kooperation von Mitarbeitern des Auftraggebers mit den Mitarbeitern von PPE beruhen, müssen durch den Auftraggeber getragen werden.	§10.2 The customer will support PPE in the fulfillment of the order as much as possible, e.g. by granting the employees of PPE free access to the place of work and assistance in the form of technicians, electric power, etc. as well as when necessary in the procurement of accommodation, transfers, visas, customs formalities, etc. Delays or other disadvantages caused by inadequate cooperation between employees of the customer and the employees of PPE must be borne by the customer.
§10.3 Im Falle von höherer Gewalt, z.B. bei Krieg/Bürgerkrieg/Unruhen, Streiks, Unwetter, Ausfall wichtiger Hilfsmittel (wenn z.B. keine elektrische Energie zur Verfügung steht) oder von Behörden angeordneten Beschränkungen und Verboten ist PPE berechtigt, die Ausführung der Arbeiten einzustellen, bis die Arbeitsbedingungen wieder zumutbar sind oder diese in Absprache mit dem Auftraggeber an einem anderen Ort durchzuführen. Zusätzliche Kosten, die dadurch entstehen, sind vom Auftraggeber zu tragen.	§10.3 In case of force majeure, e.g. in war / civil war / riots, strikes, storms, failure of important aids (if, for example, no electrical energy is available) or restrictions and prohibitions imposed by authorities PPE is entitled to stop the execution of the work until the working conditions are again reasonable or the work can be performed elsewhere in agreement with the customer. Additional costs incurred as a result are to be borne by the customer.
